These Terms and Conditions (the "Terms") govern your access to and use of the website, applications, and services (collectively, the "Service") provided by Zendocs America Inc. ("Zendocs," "we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you ("you" or the "User") agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Service.
Important: Zendocs is not a law firm and does not provide legal advice. The Service is a technology platform that generates documents based on information you provide. You are solely responsible for reviewing the output and, where appropriate, seeking advice from licensed counsel in your jurisdiction. 1. Definitions
Capitalised terms used in these Terms have the meanings set out below. Additional defined terms may appear throughout the document.
Account: A user profile created to access the Service.
Authentication Code: A time-sensitive, single-use verification code used for passwordless access to an Account.
Billing Cycle: The frequency at which subscription fees are charged (weekly, monthly, quarterly, or annual, depending on the plan).
Force Majeure Event: Any circumstance beyond a party's reasonable control, including natural disasters, government action, war, terrorism, civil unrest, cyber-attacks, network or infrastructure failures, pandemics, internet service outages, and power failures.
Platform: The Zendocs website, mobile and desktop applications, and related interfaces through which the Service is delivered.
Service: All features, functionalities, templates, guided agreement flows, PDF editing and conversion tools, file-management tools, and content made available by Zendocs through the Platform.
Standard Subscription: The recurring paid subscription that begins after any introductory plan ends.
Trial / Introductory Plan: The 7-day Trial (USD 1), as applicable.
User Content: Any document, file, data, or information you upload to, create through, or store on the Platform.
2. The Service
2.1 What Zendocs Provides
The Service allows you to create, edit, convert, organise, and store documents through a guided questionnaire interface and related tools. The Service is available via web browsers, mobile devices, tablets, desktop applications, authorised third-party integrations, and any successor access methods Zendocs may release.
2.2 Nature of the Service
Zendocs is a technology provider only. It is not a law firm and does not provide legal advice, opinions, or recommendations. Document requirements vary significantly between countries and jurisdictions. You are responsible for ensuring that any document you generate complies with the statutes, regulations, and formal requirements of the relevant territory.
2.3 Beta and Experimental Features
Zendocs may from time to time make certain features available on a beta or experimental basis. Such features are provided on an “as-is” basis, may be modified, suspended, or removed at any time without notice, and are excluded from any warranty or service-level commitment.
3. Your Account
3.1 Eligibility
You must be at least 18 years of age and of legal capacity in your jurisdiction to use the Service. Age verification may be required.
If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. You must notify us promptly when that authority changes.
3.2 Registration
Each user is permitted one Account. Creating multiple Accounts, sharing credentials, or providing false information is prohibited.
You must provide and maintain accurate, current, and complete registration information, including a valid email address.
3.3 Security and Authentication
The Service uses passwordless authentication with single-use, time-limited Authentication Codes. You are responsible for securing the email account associated with your Zendocs Account and for protecting any Authentication Codes issued to you. You must notify Zendocs immediately of any unauthorised access or suspected security incident affecting your Account.
3.4 Prohibited Conduct
You must not:
- create more than one Account or share Account credentials;
- provide false, misleading, or impersonating information;
- attempt to bypass security controls or access another user’s Account;
- use the Service in violation of applicable law or these Terms.
3.5 Inactive Accounts and Data Retention
Accounts that have not been accessed or used to conduct a session for 365 consecutive days will be deemed inactive. Zendocs may permanently delete inactive Accounts and all associated data without further notice. Accounts with at least one session within the preceding 365 days remain active. To retain your Account, access the Service periodically.
4. Subscriptions, Billing, and Refunds
4.1 Introductory Plans
Zendocs offers the following plan, which automatically converts to a Standard Subscription upon expiry.
(a) 7-Day Trial
- Duration: 7 days.
- Price: one-time charge of USD 1.
- Access: full access to all premium features.
- Conversion: automatically converts to the plan selected at sign-up (Monthly Standard Subscription, at USD 29.99–USD 49.99, at the end of the trial.)
4.2 Standard Subscription Pricing
- Monthly Plan: USD 29.99 to USD 49.99 per month. The exact rate within this range depends on promotional campaigns, taxes, and regional factors.
- Annual Plan: USD 239.88 per year, billed annually.
- Regional pricing: prices may be displayed in your local currency and adjusted for local sales tax, VAT, currency conversion, regional market conditions, purchasing power parity, and current promotions. The price shown at sign-up is the guaranteed rate; no hidden or additional charges will be added after sign-up.
- Price-lock guarantee: changes to subscription rates apply only to new subscribers; existing subscribers will be notified in advance of any change applicable to them.
4.3 Payment Processing
Zendocs uses PCI-DSS compliant payment processing and accepts major credit and debit cards, together with selected regional payment methods.
Split verification charges. Depending on your region, location, or payment method, the introductory charge may be processed as two separate transactions (for example, 2 x USD 0.50 for the USD 1 Trial or the 7-Day Trial). The first transaction activates your subscription; the second confirms that your payment method supports recurring charges. The total amount charged does not change.
Failed payments. If a charge is declined, Zendocs will retry the transaction over a period of up to 30 days. Accounts with unresolved failed payments after 30 days may be suspended. Bank fees resulting from declined payments are your responsibility.
Currency. Zendocs processes charges in the currency designated for your billing region at the time of purchase. Supported currencies vary by region and may change from time to time. Where your region is not supported by a local currency, charges will be processed in USD. Exchange rates and any conversion or foreign transaction fees are set by your bank or card issuer, are outside Zendocs’s control, and are non-refundable.
4.4 Automatic Renewal and Cancellation
- All subscriptions renew automatically at the end of each Billing Cycle until cancelled.
- You may cancel at any time before the next renewal date; cancellation takes effect at the end of the current Billing Cycle.
- After cancellation, no further charges will be made, but you will not receive a partial refund for the unused portion of the current Billing Cycle.
- Your Account may be reactivated at prevailing rates.

4.5 Refund Policy
(a) Introductory Plans
Charges for the 7-Day Trial, are eligible for a full refund within 30 days of purchase, provided that (i) you are a first-time trial user, (ii) no previous trial refund has been issued on any Account held by you, (iii) you have not breached these Terms, and (iv) the request is submitted through the channels listed in Section 4.5(d).
(b) Standard Subscriptions
Standard Subscription charges are generally non-refundable. A refund may be granted only in the following circumstances:
- Service unavailability: documented downtime of more than 24 consecutive hours, excluding scheduled maintenance and Force Majeure Events.
- Technical faults: Platform defects that prevent access to core features, reported within 30 days of the relevant charge and verified by Zendocs.
- Billing errors: duplicate charges, incorrect amounts, or unauthorised transactions.
- Statutory requirements: refunds mandated by applicable consumer-protection law in your jurisdiction.
(c) Non-Refundable Items
The following are not eligible for a refund: unused time following cancellation; plan downgrades; feature unavailability during scheduled maintenance; change of mind or discontinued need; and failure to cancel before automatic renewal.
(d) How to Request a Refund

Include your Account email, transaction details, the reason for the refund, and any supporting documentation. Eligible refunds are processed within 3 business days of approval.
5. User Content, Documents, and Electronic Signatures
5.1 Ownership of User Content
You retain ownership of all User Content, including profile information, answers you provide to guided flows, and any custom content you upload or generate. Personal data is handled in accordance with our Privacy Policy.
5.2 Licence to Zendocs
You grant Zendocs a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to host, store, transmit, reproduce, display, and process User Content solely to the extent necessary to (i) operate, provide, and improve the Service; (ii) perform technical functions such as format conversion, indexing, and optimisation; and (iii) analyse usage on an aggregated and anonymised basis. This licence terminates when you delete the relevant User Content, subject to retention required by law and to any back-ups retained for a limited period in the ordinary course of business.
5.3 Your Responsibility for User Content
You are solely responsible for the User Content you upload, create, or share. You must not upload or transmit:
- material that infringes a third party’s intellectual-property or privacy rights;
- malicious code, malware, or any automated collection tools;
- harmful, unlawful, fraudulent, harassing, or deceptive content;
- content in breach of applicable export-control laws or sanctions regimes (you confirm that you are not located in, or acting for the benefit of persons or entities in, any country subject to comprehensive international sanctions, and that you will not use the Service for any prohibited end use).
5.4 Storage, Access, and Deletion
Files uploaded through the Service are stored to enable continued access, editing, and downloading. You may delete User Content at any time through the Account interface. Deletion is permanent and cannot be reversed by Zendocs. Zendocs does not review, monitor, or validate the content of User Content and offers no warranty that User Content will remain available indefinitely.
5.5 Electronic Signatures (E-SIGN Act Disclosure)
By using the Service to sign or witness a document, you expressly consent to conduct transactions and execute documents electronically under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA) as adopted in your jurisdiction. You acknowledge that electronic signatures — including clicks, checkboxes, uploaded signature images, typed names, and digital signatures — carry the same legal weight and enforceability as handwritten signatures.
Zendocs provides the technical means for signature only. It does not verify the identity of signers, the legal capacity of any party, or the authority of any party to execute a document. You are solely responsible for ensuring that all parties to an agreement have the necessary authority and the intent to be bound.
6. Intellectual Property
6.1 Zendocs IP
Zendocs owns, or is the licensee of, all rights in and to the Platform and Service, including the software, source code, user interface, guided flows, question logic, document templates, trademarks, service marks, logos, and all other content made available by Zendocs (other than User Content). These assets are protected by copyright, trademark, trade-secret, and other intellectual-property laws.
6.2 Licence to You
Subject to your compliance with these Terms, Zendocs grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Service, and to generate and download documents for your personal or internal business use.
6.3 Restrictions
You must not:
- reverse engineer, decompile, or disassemble any part of the Platform, or attempt to extract its source code;
- copy, modify, adapt, translate, or create derivative works of Zendocs templates or guided-flow logic;
- remove, obscure, or alter any copyright, trademark, or proprietary notice;
- redistribute, resell, sublicence, or commercially exploit any Zendocs template or content;
- use Zendocs trademarks without prior written consent.
7. Legal Disclaimers
7.1 Not a Law Firm; No Attorney-Client Relationship
Zendocs is not a law firm. Your use of the Service does not create an attorney-client relationship with Zendocs, and no communication with Zendocs (including communications through any guided flow, help centre, or support channel) is protected by attorney-client privilege. The Service does not provide legal advice, opinions, or recommendations on your rights, remedies, defences, or strategies. If you believe you are receiving legal advice through the Service, you must not proceed with any purchase; Zendocs may in its sole discretion treat any such purchase as null and void.
7.2 “As-Is” Basis and No Warranties
To the maximum extent permitted by applicable law, the Service, all templates, all guided flows, and all information made available through the Platform are provided on an “AS-IS” and “AS-AVAILABLE” basis, without warranty of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation. Zendocs does not warrant that:
- any document produced through the Service will be legally binding, error-free, or compliant with the statutes, regulations, or formal requirements of any particular jurisdiction;
- the Service’s conditional logic covers every possible factual scenario; or
- the Service will be uninterrupted, timely, secure, or free from errors.
7.3 Evolving Legal Landscape
Laws and regulations change frequently. Information, templates, and outputs made available through the Service may become inaccurate or incomplete over time. Any reliance on Service outputs is at your own risk.
7.4 User Duty of Care; Independent Counsel
The primary duty of care for any document generated through the Service rests with you. You are responsible for reviewing, editing, and verifying every document before relying on it or executing it. Zendocs strongly recommends that all agreements be reviewed by independent legal counsel licensed in the relevant jurisdiction before execution. If your matter is complex or of material value, you should engage a licensed attorney rather than rely solely on the Service.
7.5 No Party to User Agreements
Zendocs is not a party to any agreement that you create, download, or execute using the Service. You assume full responsibility for all legal, financial, moral, and reputational consequences arising from your use of the Service in connection with your own legal matters.
8. Limitation of Liability and Indemnification
8.1 Aggregate Cap
To the maximum extent permitted by applicable law, Zendocs’s total aggregate liability to you for all claims arising out of or related to the Service, whether in contract, tort (including negligence), strict liability, or any other legal theory, is limited to the amount you paid to Zendocs for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
8.2 Excluded Damages
To the maximum extent permitted by applicable law, Zendocs shall not be liable for any of the following, however arising:
- Financial losses:
- lost profits or revenue;
- business interruption;
- lost business opportunities;
- lost or damaged data;
- cost of substitute services;
- or loss arising from investment or business decisions made in reliance on the Service.
- Indirect damages:
- consequential, incidental, special, punitive, or exemplary damages;
- damages for emotional distress;
- or damages for reputational harm.
- Technical issues:
- temporary service interruptions,
- data-transmission errors,
- third-party software failures,
- device-compatibility issues,
- or internet-connectivity problems.
8.3 Allocation of Risk
You acknowledge that technical errors in the Service’s conditional logic may occur, that Zendocs does not vet documents against any specific jurisdiction’s statutes or public policy, and that you bear the entire risk as to the legal consequences of using the Service. The limitations in this Section 8 are a fundamental basis of the bargain between you and Zendocs.
8.4 Indemnification
You agree to indemnify, defend, and hold harmless Zendocs, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Service, including any User Content, document created, or interaction with other users;
- your breach of these Terms;
- your violation of any applicable law or of any third-party right, including intellectual-property, privacy, or data-protection rights;
- any dispute between you and another user of the Service; and
- any regulatory investigation, legal proceeding, or administrative action relating to your use of the Service.
9. Dispute Resolution, Governing Law, and Class Action Waiver
9.1 Governing Law and Forum
These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Subject to Section 9.2, any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
9.2 Informal Resolution
Before initiating any formal proceeding, you agree to contact Zendocs at [email protected] and attempt to resolve the dispute informally. Zendocs will make good-faith efforts to resolve the matter through direct communication within 30 days of receiving your notice.
9.3 Binding Arbitration
If informal resolution is unsuccessful, any remaining dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the following features:
- one arbitrator, appointed in accordance with the AAA rules;
- proceedings conducted in English, by virtual hearing where practicable;
- written notice of dispute, a detailed statement of claim, supporting documentation, and a proposed resolution;
- target resolution within 60 days of appointment of the arbitrator;
- a reasoned written decision by the arbitrator.
Costs
- Filing fees are shared equally;
- arbitrator fees are split unless otherwise awarded;
- each party bears its own legal fees, travel expenses, and document-production costs.
9.4 Class Action Waiver
All disputes must be brought in your individual capacity. You expressly waive any right to participate in a class action, class-wide arbitration, consolidated proceeding, representative action, or private attorney-general action. The arbitrator may not consolidate more than one party’s claims and may not award class-wide or representative relief.
9.5 Exceptions
The following matters are excluded from arbitration:
- intellectual-property disputes, including copyright, trademark, patent, and trade-secret claims;
- claims that qualify for, and are brought in, a small-claims court with jurisdiction;
- applications for urgent equitable relief, including temporary restraining orders and preliminary injunctions, to prevent immediate harm.
9.6 Time Bar
Any claim arising out of or relating to the Service must be brought within six (6) months after the claim accrues, after the facts giving rise to the claim were or reasonably should have been discovered, or within the shortest period permitted by applicable law, whichever is longer.
10. Suspension and Termination
10.1 Termination by You
You may terminate your Account at any time using the channels set out in Section 4.4. Termination takes effect at the end of the then-current Billing Cycle and does not entitle you to a refund of unused fees, except as set out in Section 4.5.
10.2 Termination or Suspension by Zendocs
Zendocs may suspend or terminate your Account, with or without prior notice, if:
- you commit a material or repeated breach of these Terms;
- you engage in fraudulent, abusive, or harmful conduct, or share your Account with others;
- you fail to pay any amount owing to Zendocs;
- you provide false information, or fail age verification;
- required by applicable law, regulatory obligation, valid court order, governmental request, or jurisdictional restriction.
Where reasonably practicable, Zendocs will provide written notice. In cases of severe violation or imminent harm, termination may take immediate effect.
10.3 Effect of Termination
Access to the Service, authentication codes, and any API or third-party integration will be disabled.
User Content will be archived for 30 days following termination, after which it will be deleted, except where retention is required by law.
Outstanding fees remain payable; any credit balance will be refunded in accordance with Zendocs’s ordinary refund procedures.
Sections which by their nature should survive termination (including Sections 6, 7, 8, 9, and 13) will continue in full force and effect.
10.4 Reactivation
You may reactivate a terminated Account within 30 days of termination, subject to the Terms then in force and to current pricing. After 30 days, a new Account must be created; your prior username may not be available, and reactivation is subject to Zendocs’s approval.
11. Changes to the Service and to These Terms
11.1 Changes to the Service
Zendocs may add, modify, suspend, or discontinue any feature of the Service at any time. Changes are categorised as follows:
- Standard changes (feature updates, interface improvements, performance optimisation): at least 15 days’ advance notice by email, together with any required user actions and transition guidance.
- Emergency changes (critical security updates, legal-compliance requirements, system-stability issues, Force Majeure Events): may be implemented immediately, with post-change notification.
- Non-material changes (minor bug fixes, performance tuning, UI refinements, content or documentation updates): may be made without notice.
11.2 Changes to These Terms
Zendocs may modify these Terms from time to time. Material changes will be notified by email. For new users, changes take effect immediately on posting. For existing users, material changes take effect 30 days after notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with material changes, your sole remedy is to terminate your subscription in accordance with Section 10.1.

12.1 Availability and Channels
Customer support is available 24 hours a day, 7 days a week, with an average response time of 6 hours. Every inquiry is tracked with a unique ticket number.

12.2 Response Times
- General support: automatic acknowledgement; initial human response within 24 hours; typical resolution in 3–5 business days.
- Legal matters: acknowledgement within 1–3 business days; resolution within 15 business days.
12.3 Complaints and Escalation
A complaint submission should include: your full name and Account email, a detailed description of the issue, supporting documentation, a timeline of events, and references to any previous communications.

12.4 Quality Assurance
- Complaints are tracked in a secure system,
- reviewed for continuous improvement,
- analysed for patterns,

13. General Provisions and Company Information
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zendocs with respect to the Service, and supersede all prior understandings, negotiations, or agreements.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties’ intent.
13.3 No Waiver
Any failure by Zendocs to enforce any provision of these Terms does not constitute a waiver of that provision or of any other rights.
13.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without Zendocs’s prior written consent. Zendocs may assign these Terms, in whole or in part, to any affiliate or successor, including in connection with a merger, acquisition, or sale of assets.
13.5 Notices
Legal notices to Zendocs must be sent to the correspondence address below. Zendocs may give notice to you by email to the address associated with your Account or by posting a notice within the Service.
